CORTEX

Terms of Use

Version 1.0. Last updated 18 October 2026.

The website at cortexbrain.ai (the "Site") is owned and operated by Auspiscion LLC, a Colorado limited liability company doing business as Cortex ("Cortex", "we", "us" or "our"). These Terms of Use ("Terms") govern your use of the Site. By using the Site, you agree to these Terms on behalf of yourself or the organization you represent, and you confirm that you have authority to do so. You must be at least 18 years old to use the Site. If you do not agree, please do not use the Site.

These Terms cover the Site only. Any use of the Cortex product, including a pilot, trial or demo environment, is governed by a separate written agreement between your organization and us.

1. Using the Site

1.1 Permission. Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable permission to view and use the Site to learn about Cortex and to contact us.

1.2 Restrictions. You may not: (a) sell, license, rent, distribute or otherwise commercially exploit the Site or its content; (b) copy, modify, republish or create derivative works from the Site, except that you may share links to it and quote short passages with attribution; (c) disassemble, decompile or reverse engineer any part of the Site; (d) use bots, scrapers or other automated means to access, copy or collect content or data from the Site, or use its content to train or improve any artificial intelligence or machine learning model, except for search engine indexing that follows our robots.txt; (e) use the Site to build a similar or competing product; (f) interfere with or disrupt the Site, probe or test its security without our written permission, or try to gain unauthorized access to it or to our systems; (g) send spam, malicious code or unlawful content through the contact form or otherwise; or (h) use the Site in violation of any law. You must keep intact any copyright or other notices on any material you are permitted to copy.

1.3 Changes to the Site. We may change, suspend or stop the Site, or any part of it, at any time, with or without notice. We are not liable to you or anyone else for doing so. We have no obligation to provide support for the Site.

2. Information about Cortex

Cortex is in active development. Descriptions of the product and its features on the Site describe what we are building and how it is designed to work. They may change, may not be available yet, and are provided for general information only. Nothing on the Site is an offer, a commitment to deliver any feature, a warranty, or a performance guarantee. Any commitments about the product will be set out only in a signed written agreement.

3. What you send us

3.1 Not confidential. Please do not send confidential or proprietary information through the contact form or by unsolicited email. Anything you send us through the Site is not treated as confidential, and sending it does not create a confidentiality agreement, a non-disclosure agreement, or any other relationship between you and us. If you want to share confidential information, ask us first and we can put a non-disclosure agreement in place.

3.2 Feedback. If you give us feedback, ideas or suggestions about the Site or Cortex, you grant us a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license to use them in any way and for any purpose, without obligation or attribution to you.

3.3 Accuracy. You agree that information you give us is accurate and that you have the right to give it to us, including any information about other people.

4. Ownership and trademarks

The Site and its content, including its text, design, graphics, code and the ASCII brain illustration, are owned by Cortex or its licensors and are protected by copyright, trademark and other laws. "Cortex", "Co-Suite" and our logos are our trademarks; you may not use them without our prior written permission, except to refer to us accurately. Other product names and logos shown on the Site, including the tool names on the illustration's ring, belong to their owners and are used only to identify those products. Their use does not mean those owners endorse, sponsor or are affiliated with Cortex. These Terms do not transfer any ownership rights to you, and we reserve all rights not expressly granted.

5. Privacy and cookies

Our Privacy Policy explains how we collect, use and share personal information, and our Cookie Notice explains our use of cookies and similar technologies. Both are part of these Terms. If these Terms conflict with the Privacy Policy about personal information, the Privacy Policy controls.

6. Links to other sites

The Site links to websites and services run by others, such as LinkedIn. We do not control them and are not responsible for their content, policies or practices. Your use of them is at your own risk and is governed by their own terms.

7. Disclaimers

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, CORTEX AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL CODE, OR THAT ITS CONTENT IS COMPLETE OR UP TO DATE. IF APPLICABLE LAW REQUIRES ANY WARRANTY, IT IS LIMITED TO 90 DAYS FROM YOUR FIRST USE OF THE SITE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) CORTEX AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY LOST PROFITS, LOST DATA, COST OF SUBSTITUTE PRODUCTS, OR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF WE HAVE BEEN TOLD SUCH DAMAGES ARE POSSIBLE; AND (B) OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). MULTIPLE CLAIMS WILL NOT INCREASE THIS LIMIT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THESE LIMITS MAY NOT APPLY TO YOU.

9. Indemnity

You agree to defend, indemnify and hold harmless Cortex and its members, managers, officers, employees and agents from any claims, losses and reasonable costs, including attorneys' fees, arising out of (a) your misuse of the Site, (b) your breach of these Terms, or (c) your violation of any law or the rights of others. We may take control of the defense of any such claim at your expense, and you agree to cooperate. You may not settle any such claim without our prior written consent.

10. Release

To the fullest extent permitted by law, you release Cortex and its members, managers, officers, employees, agents, successors and assigns from all claims, demands and damages of any kind arising out of or related to third-party websites or services linked from the Site. If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

11. Suspension and termination

These Terms apply for as long as you use the Site. We may suspend or end your access to the Site at any time, for any reason, including if we believe you have broken these Terms. Sections 1.2 and 2 through 13 survive any termination.

12. Governing law and disputes

These Terms, and any dispute arising out of or related to them or the Site, are governed by the laws of the State of Colorado, USA, without regard to its conflict-of-law rules. Any such dispute must be brought exclusively in the state or federal courts located in Larimer County, Colorado, and you and we consent to the personal jurisdiction of those courts. However, either party may (a) bring an individual claim in a small claims court that has jurisdiction, and (b) seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information. Before starting any proceeding, please contact us at hello@cortexbrain.ai so we can try to resolve the issue informally. If you are a consumer in a country that gives you the right to bring proceedings in your local courts or to the protection of your local law, nothing in this section takes that right away.

13. General

13.1 Changes to these Terms. We may update these Terms from time to time. We will post the updated Terms on the Site and change the date at the top. If a change is material, we will give more prominent notice. Your continued use of the Site after changes are posted means you accept them.

13.2 Electronic communications. You agree to receive communications from us electronically, by email or by notices on the Site, and that these satisfy any legal requirement that they be in writing.

13.3 Export. You agree not to export, re-export or transfer any technical information obtained from the Site in violation of U.S. export control or sanctions laws or the laws of other applicable countries.

13.4 Accessibility. We aim for the Site to meet the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA. If you have trouble using any part of it, or have suggestions, email hello@cortexbrain.ai and we will try to help.

13.5 Entire agreement and other terms. These Terms, with the Privacy Policy and Cookie Notice, are the entire agreement between you and us about the Site. If any provision is found invalid or unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver. "Including" means "including without limitation". You may not assign these Terms without our prior written consent; we may assign them freely, including to a successor in a merger, acquisition or sale of assets.

13.6 Copyright. Copyright © 2026 Auspiscion LLC. All rights reserved.
